Head of Legal & Governance (M/F) – CDI
Reporting to the Group Country Head, the candidate will lead the Legal and Governance Department, with the following main responsibilities:
Main responsibilities
- Establish and oversee procedures to ensure legal risks are controlled and managed in compliance with ADEPA’s Legal and Governance policy framework.
- Monitor all legal and regulatory developments, assess their impact on the Company and drive the design and implementation of the necessary controls and required changes.
- Provide strategic legal advice to the Board and senior management.
- Draft, review and negotiate legal documentation such as fund offering documentation, circular resolutions, notices to shareholders, Company’s services agreements and other key contracts.
- Manage law firm relationships, including negotiating legal budgets and engagement terms and tracking compliance with the same.
- Lead, mentor and develop the legal and governance teams, fostering a culture of integrity, accountability and regulatory excellence.
- Monitor and report compliance with CSSF regulatory requirements and internal legal policies and procedures, ensuring alignment between legal, compliance and operational functions.
- Oversee fund structuring, product governance, and cross‑border distribution processes.
- Provide legal support to Group’s and Funds’ boards and committees and assist the Company with designing and implementing best corporate governance practices.
Qualifications and experience
- Law degree with a minimum of 10 years’ experience in a legal position.
- Understanding of Luxembourg investment fund structures and funds’ laws and regulations. A good knowledge of the AML/CTF legal and regulatory framework would be considered.
- Deep knowledge of Luxembourg company law.
- Ability to translate legal requirements into operational controls.
- Good knowledge of new regulatory changes impacting the fund industry and their effects.
- Proficient in English (written and oral). Professional use of other languages, particularly Spanish, Italian and/or French, would be highly considered.
- Good knowledge in Microsoft office, mostly Outlook, Word and Excel.
